The Role of the Corporate Lawyer in Addressing Climate Risk: A Contractual Approach

The Latin American chapter of GAIL was pleased to co-host a joint session with the Semillero en Derecho de Sociedades y Operaciones Societarias to explore how corporate lawyers can take an active role in addressing climate change through contract design and corporate governance.

Guillermo Miranda García, from The Chancery Lane Project (TCLP), introduced TCLP’s newly launched Climate Contracting in Action course — a CPD-certified programme offering 30 hours of practical training for legal professionals seeking to integrate climate-aligned provisions into commercial contracts.

The discussion focused on how legal tools can help address the “triple overlap” of climate-related risk:
• Legal: evolving director duties, regulatory investigations, and the accuracy of climate disclosures;
• Commercial: supply chain disruptions, stranded assets, and resource scarcity;
• Financial: changes in valuation, capital costs, and investor expectations.

Even amid political uncertainty, the session highlighted how corporate law and contracts remain powerful levers to drive climate action and support long-term value creation.
