By: Jens Magers, Christina Eschenfelder, Leo Krause-Wichmann

This book conveys the most important legal aspects of sustainable corporate management in a stock corporation under German law in a compact and understandable way. Practical examples are used to illustrate the issues.

The book deals with two major themes.

First, how can (and if necessary must) the board of directors, the supervisory board and the general assembly promote social and environmental concerns? What role do they play within the organizational constitution and what possibilities for internal organization does stock corporation law allow?

Second, it addresses how lawmakers push compliance with certain governance practices. What requirements in terms of diversity and specialist skills must members of the management board and supervisory board meet? What are the requirements for sustainability parameters in the remuneration of the Executive Board?

The authors provide an overview of the legal foundations and examine the essential issues of sustainable corporate governance in accordance with German stock corporation law.
